Agreement to Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and urWave Technologies ("urWave", "Company", "we", "us", "our") governing your access to and use of our websites (urwave.com, urwave.sa, urwave.com.sa), mobile applications, SaaS platforms, and related services (collectively, the "Services"). By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

Eligibility

To use our Services, you must: Be at least 18 years of age or the age of legal majority in your jurisdiction; Have the legal capacity to enter into binding contracts; Not be prohibited from using our Services under applicable laws; If acting on behalf of a business entity, have authority to bind that entity to these Terms. By using our Services, you represent and warrant that you meet all eligibility requirements.

Account Registration and Security

When you create an account, you agree to: Provide accurate, current, and complete information; Maintain and update your information to keep it accurate; Keep your password confidential and secure; Not share your account credentials with others; Notify us immediately of any unauthorized access; Accept responsibility for all activities under your account. Intellectual Property Rights

All content, features, and functionality of our Services, including but not limited to: software, code, algorithms, designs, graphics, logos, trademarks, text, images, videos, and documentation are owned by urWave or its licensors and are protected by international copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract source code. urWave and the urWave logo are registered trademarks.

User Content

You retain ownership of content you submit through our Services. By submitting content, you grant urWave a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content solely for operating and improving our Services. You represent that you have all necessary rights to grant this license and that your content does not violate any laws or third-party rights. We may remove content that violates these Terms.

Payment Terms

For paid Services: All fees are in the currency specified at purchase; Fees are non-refundable except as required by law or stated in our refund policy; You authorize us to charge your payment method for all fees; Subscription services auto-renew unless cancelled before renewal date; We may change pricing with 30 days advance notice; Failed payments may result in service suspension; You are responsible for all applicable taxes. Billing disputes must be reported within 30 days.

Service Availability and Modifications

We strive to maintain reliable Services but do not guarantee uninterrupted access. We may: Modify, suspend, or discontinue any part of our Services; Perform maintenance that may temporarily affect availability; Update features, functionality, or user interface; Change technical requirements or supported platforms. We will provide reasonable notice for significant changes when possible. We are not liable for any modification, suspension, or discontinuation of Services.

Indemnification

You agree to indemnify, defend, and hold harmless urWave, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from: Your use of our Services; Your violation of these Terms; Your violation of any third-party rights; Your content submitted to our Services; Your negligence or willful misconduct.

Termination

Either party may terminate this Agreement at any time. urWave may terminate or suspend your access immediately, without notice, for: Violation of these Terms; Non-payment of fees; Fraudulent or illegal activity; Extended period of inactivity; Request from law enforcement or government agency. Upon termination: Your right to use Services ceases immediately; You must stop using and delete any materials from our Services; Provisions that should survive termination will remain in effect; We may delete your data after a reasonable retention period.

Governing Law and Disputes

These Terms are governed by the laws of the Kingdom of Saudi Arabia and the United Arab Emirates, as applicable based on your location and service usage. Any disputes shall be resolved through: Good faith negotiation (30 days); Mediation if negotiation fails; Binding arbitration in accordance with the rules of the Saudi Center for Commercial Arbitration or DIFC-LCIA; Class action waiver - disputes must be brought individually. You agree to the exclusive jurisdiction of courts in Riyadh, KSA or Dubai, UAE.

Privacy

Your privacy is important to us. Our Privacy Policy, available at urwave.com/privacy, explains how we collect, use, and protect your personal information. By using our Services, you consent to our data practices as described in the Privacy Policy.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by: Posting updated Terms on our website; Sending email notification to registered users; Displaying prominent notice within our Services. Changes are effective upon posting unless otherwise specified. Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using our Services.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on our Services, constitute the entire agreement between you and urWave regarding your use of our Services. These Terms supersede any prior agreements or understandings.
